Data Processing Agreement

Introduction

This Data Processing Agreement ("DPA") sets forth the terms governing the processing of personal data by Genlogic Limited ("Processor") on behalf of you ("Controller") in connection with our cloud infrastructure management services.

Definitions

For the purposes of this DPA:

• Personal Data: Any information relating to an identified or identifiable natural person.
• Controller: You, as the entity determining the purposes and means of processing.
• Processor: Genlogic Limited, processing personal data on your behalf.
• Processing: Any operation performed on personal data.

Scope

This DPA applies to all processing of personal data by the Processor on behalf of the Controller in connection with our cloud management platform services.

Obligations of the Processor

The Processor shall:

• Process personal data only on documented instructions from the Controller;
• Ensure authorized personnel are bound by confidentiality obligations;
• Implement appropriate technical and organizational security measures;
• Engage subprocessors only with prior written authorization;
• Assist the Controller with data protection compliance;
• Delete or return personal data upon service termination;
• Provide information necessary to demonstrate compliance;
• Allow for and contribute to audits by the Controller.

Data Breach Notification

In the event of a personal data breach, we will notify you without undue delay, providing sufficient information to enable you to fulfill your notification obligations under applicable data protection laws.

International Data Transfers

If we transfer personal data outside the European Economic Area (EEA), we will ensure such transfers comply with applicable data protection laws and implement appropriate safeguards.

Governing Law

This DPA shall be governed by the laws of Italy.
